Welcome to ClaimLynk (“Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, platform, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility
   By using the Services, you represent and warrant that you are:
   • At least eighteen (18) years of age; or
   • Accessing the Services on behalf of a company, organization, or entity that has authorized you to accept these Terms on its behalf.

2. Permitted Use
   You agree to use the Services solely for lawful purposes and in compliance with these Terms. You may not:
   • Violate any applicable law, regulation, or third-party right.
   • Attempt to gain unauthorized access to systems, accounts, or networks.
   • Upload or transmit viruses, malware, spam, or other harmful content.
   • Interfere with or disrupt the functionality, security, or availability of the Services.

3. Accounts & Registration
   Some features may require you to create an account or register (including waitlist registration). You agree to:
   • Provide complete and accurate information.
   • Maintain the confidentiality of your credentials.
   • Accept responsibility for all activities conducted under your account.

4. Intellectual Property
   All content, trademarks, service marks, graphics, and logos provided through the Services are the exclusive property of ClaimLynk or its licensors, protected by intellectual property laws.
   You may not reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

5. Privacy
   Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and safeguard personal data. By using the Services, you consent to our data practices.

6. Healthcare Disclaimer
   • ClaimLynk is a technology platform providing AI-powered support for TPAs, members, and providers.
   • ClaimLynk is not a healthcare provider, insurer, or financial advisor.
   • Any information delivered through the Services (e.g., claim status, benefit summaries, provider directories) is for informational purposes only and should be verified with your TPA or plan administrator.

7. HIPAA & Data Protection
   • To the extent ClaimLynk processes Protected Health Information (“PHI”), it does so under strict safeguards consistent with HIPAA requirements.
   • TPAs and partners using ClaimLynk may be required to execute a Business Associate Agreement (BAA) with us.
   • You agree not to upload or disclose PHI unless you are duly authorized to do so.

8. Third-Party Links & Services
   The Services may include links to or integrations with third-party websites, tools, or services. ClaimLynk is not responsible for the content, availability, or practices of such third parties. Accessing them is at your own risk.

9. Disclaimer of Warranties
   The Services are provided “as is” and “as available.” ClaimLynk disclaims all warranties, express or implied, including but not limited to:
   • Accuracy, completeness, or reliability of any information provided.
   • Continuous, uninterrupted, or error-free operation.
   • Fitness for a particular purpose or non-infringement.

10. Limitation of Liability
    To the fullest extent permitted by law:
    • ClaimLynk shall not be liable for indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services.
    • ClaimLynk’s total liability for any claim shall not exceed the amount you paid (if any) for access to the Services in the twelve (12) months preceding the claim.

11. Indemnification
    You agree to indemnify, defend, and hold harmless ClaimLynk and its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, or expenses arising out of:
    • Your breach of these Terms;
    • Your misuse of the Services; or
    • Your violation of any third-party rights.

12. Termination
    We reserve the right to suspend or terminate your access to the Services immediately, with or without notice, if you:
    • Breach these Terms;
    • Engage in conduct that disrupts or harms the Services; or
    • Pose a legal, regulatory, or security risk.

13. Changes to the Services & Terms
    • We may update, modify, or discontinue any portion of the Services at any time without notice.
    • We may amend these Terms periodically. Updates will be posted with a new “Last Updated” date. Continued use of the Services after updates constitutes acceptance.

14. Governing Law
    These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the federal or state courts located in Ohio, United States.
